Annual Return Requirements
According to Section 97 (a) of Myanmar's Companies Law, every company registered in Myanmar must file a return of its corporate details with the Directorate of Investment and Company Administration (DICA) within two months from its incorporation and thereafter at least once every year. The annual return must be submitted no later than one month after the anniversary of the company's incorporation.
The annual return is typically submitted through the Myanmar Companies Online (MyCo) platform. The following information must be confirmed for accuracy:
- Company’s name;
- Names and details of the director(s) and company secretary;
- Registered office address and principal place of business;
- Address of where the company’s statutory registers are kept (if different from the registered office or principal place of business);
- Share capital details;
- Date of the last annual general meeting;
- List of shareholders;
- Details of any mortgages and charges granted by the company;
- Company’s status as a foreign company;
- Company’s status as a small company;
- Investment permits and endorsements;
- Principal business activities of the company;
- No public invitation for shares or debentures (for private companies only).
Requirement for Newly Established Companies (Effective from 1 April 2023)
All newly established companies must submit the following supporting documents to the DICA by email before submitting their first annual return:
- Evidence that the paid-up capital has been credited to a bank account opened in the company’s name (in practice, the DICA may request a bank statement solely to verify that the company’s bank account has been opened);
- A copy of the citizenship scrutiny card and a certificate from the relevant township police office confirming the residential address of a Myanmar director or shareholder;
- Form C from the relevant township immigration office, if a foreign director resides in Myanmar;
- A copy of the registration documents of a corporate shareholder;
- A certificate from the relevant township police office confirming the company’s registered office address.
Mandatory Corporate Filings
Filing the annual return does not substitute for reporting other mandatory corporate changes, such as a change in director(s), company name, or any other material changes. These key filings and their timelines are outlined in the table below.
